Mas como funciona exatamente?<\/p>\n<p> <\/p>\n<h2 class=\"wp-block-heading\">Equity e d\u00edvida<\/h2>\n<p> <\/p>\n<p>Tradicionalmente, na Urbanitae trabalhamos com dois grandes tipos de projetos: d\u00edvida e <a href=\"https:\/\/blog.urbanitae.com\/pt-pt\/2024\/09\/06\/que-tipos-de-projetos-de-equity-existem-na-urbanitae\/?utm_source=blog_pt&amp;utm_medium=organic&amp;utm_campaign=urbanitae_blog_0525&amp;utm_term=equity&amp;utm_content=pt_tir_preferente\" target=\"_blank\" rel=\"noreferrer noopener\">equity<\/a>. Os projetos de d\u00edvida baseiam-se num contrato de empr\u00e9stimo com rentabilidade fixa. Os de equity, por sua vez, consistem na entrada do investidor como s\u00f3cio no capital social de uma sociedade promotora, o que implica assumir mais risco em troca de maior rentabilidade potencial.<\/p>\n<p> <\/p>\n<p>O equity representa, portanto, o capital que os investidores colocam num projeto: os s\u00f3cios arriscam-se, por assim dizer, no sucesso do projeto. Se o projeto correr bem, ganham dinheiro; se correr mal, ganham menos ou at\u00e9 podem perder o capital investido. <strong>Este risco acrescido implica maior rentabilidade, caso tudo corra conforme o previsto.<\/strong> Quando o investidor entra com d\u00edvida, n\u00e3o \u00e9 propriet\u00e1rio do projeto, mas empresta dinheiro aos donos do mesmo para que o possam desenvolver.<\/p>\n<p> <\/p>\n<p>Apesar de a distin\u00e7\u00e3o ser clara, d\u00edvida e equity n\u00e3o s\u00e3o mundos separados. Pensemos, por exemplo, na compra de uma casa. Normalmente, o comprador investe algum dinheiro pr\u00f3prio, embora n\u00e3o o valor total do im\u00f3vel. Esse montante \u00e9 o equity. Depois, entra o banco com o empr\u00e9stimo hipotec\u00e1rio. <strong>\u00c9 a soma de equity e d\u00edvida (passivo) que permite ao propriet\u00e1rio comprar a sua casa (ativo).<\/strong><\/p>\n<p> <\/p>\n<h2 class=\"wp-block-heading\">TIR preferencial: uma estrutura h\u00edbrida<\/h2>\n<p> <\/p>\n<p>Num investimento em d\u00edvida, o indicador-chave \u00e9 a taxa de juro: com esse valor e o prazo, sabemos exatamente quanto vamos ganhar com o projeto. Nos projetos de equity, <strong>a m\u00e9trica fundamental \u00e9 a <a href=\"https:\/\/blog.urbanitae.com\/pt-pt\/glossario\/taxa-interna-de-rendibilidade-tir\/?utm_source=blog_pt&amp;utm_medium=organic&amp;utm_campaign=urbanitae_blog_0525&amp;utm_term=tir&amp;utm_content=pt_tir_preferente\" target=\"_blank\" rel=\"noreferrer noopener\">TIR<\/a> \u2013 taxa interna de rentabilidade<\/strong>, que pode ser definida, de forma simplificada, como a rentabilidade total do projeto dividida pela dura\u00e7\u00e3o do investimento.<\/p>\n<p> <\/p>\n<p>A TIR preferencial \u00e9 uma evolu\u00e7\u00e3o do equity. Trata-se de uma alian\u00e7a entre a Urbanitae e o promotor em que <strong>os investidores t\u00eam prioridade no reembolso do seu investimento e na obten\u00e7\u00e3o de uma rentabilidade m\u00ednima garantida<\/strong> na distribui\u00e7\u00e3o dos lucros. S\u00f3 depois de atingido esse patamar \u2013 por exemplo, 12% ou 14% anualizados \u2013 \u00e9 que o promotor come\u00e7a a receber lucros do seu investimento.<\/p>\n<p> <\/p>\n<p>Como explica Sergio Arana, diretor de Real Estate da Urbanitae, \u201c\u00e9 o melhor dos dois mundos: oferece a prote\u00e7\u00e3o descendente da d\u00edvida e o potencial de rentabilidade adicional do equity\u201d.<\/p>\n<p> <\/p>\n<h2 class=\"wp-block-heading\">Vantagens da TIR preferencial<\/h2>\n<p> <\/p>\n<p>Este modelo apresenta duas vantagens principais:<\/p>\n<p> <\/p>\n<p><strong>Prioridade no pagamento:<\/strong> os investidores recuperam primeiro o capital investido e atingem a rentabilidade preferencial <strong>antes<\/strong> de o promotor receber qualquer euro de lucro.<\/p>\n<p> <\/p>\n<p><strong>Rentabilidade m\u00ednima prevista:<\/strong> a TIR preferencial estabelece um patamar m\u00ednimo, que geralmente se situa entre os 12% e os 15% ao ano. Embora, como em qualquer projeto de equity, n\u00e3o esteja contratualmente garantido, a estrutura conta com uma almofada financeira suficiente \u2013 o capital investido pelo promotor \u2013 para que o investidor da Urbanitae possa alcan\u00e7\u00e1-la mesmo em caso de desvios nos custos ou nos prazos.<\/p>\n<p> <\/p>\n<p>Isto torna-a uma op\u00e7\u00e3o bastante atrativa para investidores que procuram maximizar a rentabilidade com mais prote\u00e7\u00e3o do que num equity tradicional. Esta cl\u00e1usula, juntamente com a contribui\u00e7\u00e3o de capital do promotor \u2013 normalmente entre 20% e 25% do total \u2013 <strong>funciona como uma garantia dessa rentabilidade preferencial.<\/strong><\/p>\n<p> <\/p>\n<p>Al\u00e9m disso, a Urbanitae n\u00e3o aprova projetos com uma TIR alvo inferior a 15%, o que acrescenta uma camada adicional de exig\u00eancia na sele\u00e7\u00e3o de oportunidades.<\/p>\n<p> <\/p>\n<p>Neste caso, <strong>o investidor n\u00e3o s\u00f3 obt\u00e9m a rentabilidade preferencial como tamb\u00e9m pode participar numa distribui\u00e7\u00e3o adicional de lucros<\/strong>, conforme o acordado. Assim, a rentabilidade final pode superar esse patamar m\u00ednimo, como acontece nos modelos tradicionais de equity.<\/p>\n<p> <\/p>\n<h2 class=\"wp-block-heading\">E se as coisas correrem mal?<\/h2>\n<p> <\/p>\n<p>Num cen\u00e1rio extremo \u2013 uma \u201ccat\u00e1strofe\u201d, como referido no webinar \u2013 o investidor pode n\u00e3o atingir a rentabilidade prevista. No entanto, a experi\u00eancia acumulada da Urbanitae e a estrutura jur\u00eddica do acordo permitem mitigar ao m\u00e1ximo esse risco. Cada projeto \u00e9 sujeito a um rigoroso processo de an\u00e1lise pelo <a href=\"https:\/\/blog.urbanitae.com\/pt-pt\/2025\/03\/06\/urbanitae-incorpora-alicia-hinojosa-ao-seu-comite-de-investimentos\/?utm_source=blog_pt&amp;utm_medium=organic&amp;utm_campaign=urbanitae_blog_0525&amp;utm_term=comite_de_investimentos&amp;utm_content=pt_tir_preferente\" target=\"_blank\" rel=\"noreferrer noopener\">comit\u00e9 de investimentos<\/a>, com auditorias legais, t\u00e9cnicas e comerciais independentes antes de ser lan\u00e7ado para financiamento.<\/p>\n<p> <\/p>\n<h2 class=\"wp-block-heading\">Que projetos t\u00eam TIR preferencial?<\/h2>\n<p> <\/p>\n<p>Cada projeto com TIR preferencial est\u00e1 claramente identificado na sua ficha na plataforma da Urbanitae. A\u00ed \u00e9 poss\u00edvel consultar o modelo de distribui\u00e7\u00e3o, o pacto de s\u00f3cios e os cen\u00e1rios econ\u00f3micos previstos, que permitem calcular a rentabilidade total estimada.
